Nexora Cogniware LLP is a DPIIT-recognized startup under the Startup India initiative and is registered with Gwalior Smart City Incubation Center (G-Incube). We provide AI solutions, IoT services, IT development, training programs, and traffic junction deployment services.

If you do not agree to these Terms, please do not access or use our services.

4. User Responsibilities

4.1 Account Registration

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Update your information when it changes

4.2 Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You must not:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with the proper functioning of our services
  • Use our services for competitive analysis or reverse engineering

4.3 Training Program Participants

  • Attend classes regularly and participate actively
  • Complete assignments and projects on time
  • Respect instructors and fellow participants
  • Use training materials only for personal learning
  • Provide honest feedback and evaluations

5. Intellectual Property Rights

5.1 Our Intellectual Property

All content, software, designs, text, graphics, and other materials on our platform are owned by or licensed to Nexora Cogniware LLP. These are protected by intellectual property laws and international treaties.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose. This license does not include the right to:

  • Copy, modify, or distribute our proprietary materials
  • Reverse engineer our software or systems
  • Remove or alter copyright notices
  • Create derivative works based on our content

5.3 User-Generated Content

By submitting content to our platform (including applications, feedback, or project materials), you grant us a non-exclusive license to use, modify, and display such content for service provision and improvement purposes.

5.4 Custom Development Projects

For custom development projects, intellectual property ownership will be clearly defined in separate project agreements. Generally, clients retain ownership of their data and business logic, while we retain rights to general methodologies and frameworks.

6. Payment Terms and Refund Policy

6.1 Pricing and Payment

  • All prices are quoted in Indian Rupees (INR) unless otherwise specified
  • Payment terms are specified in individual service agreements
  • We accept payments through authorized payment gateways
  • Taxes and fees may apply as per applicable laws

6.2 Training Program Fees

  • Training fees must be paid before program commencement
  • Installment plans may be available for certain programs
  • Fees include course materials and certification
  • Additional costs for external certifications are separate

6.3 Refund Policy

Training Programs:

  • Full refund if cancelled 7 days before program start
  • 50% refund if cancelled 3-7 days before start
  • No refund after program commencement
  • Medical emergencies considered case-by-case

Development Services:

  • Refunds governed by project milestones
  • Completed work is non-refundable
  • Disputes resolved through agreed procedures

6.4 Late Payment

Late payments may result in service suspension and additional charges. We reserve the right to charge interest on overdue amounts as per applicable laws.

7. Service Level Agreements

7.1 Training Programs

  • 95% placement assistance guarantee for eligible candidates
  • Minimum 80% attendance required for certification
  • Access to course materials for 6 months post-completion
  • One-on-one mentoring sessions as specified

7.2 IT Development Services

  • Project timelines as agreed in statements of work
  • Regular progress updates and milestone reviews
  • Bug fixes and support as per maintenance agreements
  • Performance benchmarks for delivered solutions

7.3 Support Services

  • Response times based on issue priority levels
  • Support hours: Monday-Friday, 9 AM - 6 PM IST
  • Emergency support available for critical issues
  • Knowledge base and documentation access

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8.1 Data Security

  • We implement industry-standard security measures
  • Regular security audits and updates
  • Encrypted data transmission and storage
  • Access controls and monitoring systems

8.2 Compliance

We comply with applicable data protection laws, including the Information Technology Act, 2000, and Digital Personal Data Protection Act, 2023.

9. Limitation of Liability

9.1 Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9.2 Limitation of Damages

To the maximum extent permitted by law, our liability for any damages arising from or related to these Terms or our services shall not exceed the amount you paid for the specific service in the 12 months preceding the claim.

9.3 Exclusions

We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

10. Indemnification

You agree to indemnify and hold harmless Nexora Cogniware LLP, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your infringement of any third-party rights
  • Any content you submit or share through our platform

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us. Termination does not relieve you of payment obligations for services already provided.

11.2 Termination by Us

We may terminate your access to our services immediately if you:

  • Violate these Terms or our policies
  • Fail to pay required fees
  • Engage in fraudulent or illegal activities
  • Pose a security risk to our systems or users

11.3 Effect of Termination

Upon termination, your right to access our services ceases immediately. We may delete your account data, but obligations for payment and confidentiality survive termination.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating formal proceedings, we encourage you to contact us to resolve any disputes informally. We are committed to working with you to find fair solutions.

12.2 Formal Dispute Resolution

Any disputes that cannot be resolved informally shall be settled through arbitration in accordance with the Arbitration and Conciliation Act, 2015. The arbitration shall be conducted in Gwalior, Madhya Pradesh, India.

12.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

13. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, pandemics, cyber attacks, or telecommunications failures.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes through:

  • Email notifications to registered users
  • Prominent notices on our website
  • Updates to the "Last Updated" date

Your continued use of our services after any modifications constitutes acceptance of the updated Terms.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Nexora Cogniware LLP.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.3 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.

15.4 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
